Terms of Service

These Terms of Service (“Terms”) govern your use of the Deshi.tech website and the services we provide through it. By accessing the website or engaging us, you agree to these Terms. If you do not agree, please do not use the website.

• “Deshi.tech”, “we”, or “us” means the software engineering company based in Dhaka, Bangladesh.
• “Client”or “you” means any person or organisation that uses the website or engages our services.
• “Services” means the software engineering, integration, and related work we provide.

We provide software engineering services, including enterprise software, travel technology, integrations, and related work. The website provides general information about our capabilities and does not constitute an offer or a binding commitment to provide any specific service.

The specific scope, deliverables, timelines, and fees for any project are defined in a separate written agreement or statement of work agreed between the parties. Where that agreement conflicts with these Terms in relation to the engagement, the agreement prevails for that engagement.

You agree to:

• provide accurate information and timely access to materials, systems, and stakeholders reasonably needed for the work;
• hold the necessary rights and licences for any content or credentials you provide to us; and
• use the website and any deliverables lawfully.

Unless a project agreement states otherwise, ownership of custom deliverables transfers to the Client upon full payment. Each party retains ownership of its pre-existing materials, and we retain the general knowledge, methods, and know-how used to perform the work. The website and its content remain the property of Deshi.tech.

Each party will protect the other’s confidential information, use it only for the purposes of the engagement, and not disclose it to third parties except as required to perform the Services or by law.

Fees, payment schedules, and any applicable taxes are set out in the relevant project agreement or invoice. Unless stated otherwise, invoices are payable within the period specified on the invoice.

We perform the Services with reasonable skill and care. Except as expressly stated in a project agreement, the website and its content are provided “as is” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

To the fullest extent permitted by law, Deshi.tech is not liable for any indirect, incidental, or consequential losses, or for loss of profits, data, or business, arising from use of the website. Our total liability in connection with an engagement is limited as set out in the applicable project agreement.

You may stop using the website at any time. Engagements may be terminated as described in the applicable project agreement. Provisions that by their nature should survive termination — including confidentiality, intellectual property, and liability — will continue to apply.

These Terms are governed by the laws of Bangladesh. The courts of Dhaka, Bangladesh have jurisdiction over any dispute, without prejudice to any dispute-resolution terms agreed in a project agreement.

We may update these Terms from time to time. Changes take effect when posted, and we will revise the “last updated” date above. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
